Abstract : Contracts have occupied a particular position in legal transactions since ancient times, having consistently constituted the primary legal framework governing relations between contracting parties. They have therefore been the subject of numerous studies and analyses, extending even to their most intricate details. With the passage of time, and alongside the diversity and development of transactions—particularly in the field of banking operations, which are characterized by a high degree of complexity in the handling of certain aspects, especially in the context of cross-border and remote transactions—the phenomenon of globalization has generated extensive debate by reshaping many established legal concepts. Among these developments, electronic contracts have emerged as a distinct contractual model, particularly in light of technological and informational progress, the widespread dissemination of computers, and their ownership by a large segment of society. This evolution has led many individuals to become familiar with digital applications and systems, to the extent that dispensing with them has become increasingly difficult, given the services they provide to users. This evolution has culminated in the conclusion of numerous contracts by the majority of the world’s populations through various networks, notably the Internet, using diverse electronic means such as smart devices and electronic payment instruments made available by banks or financial institutions. This has facilitated contracting within virtual markets and other digital environments, without requiring the presence of the contracting parties in a single contractual meeting, nor their presence within the same country or at the same time. This situation has raised several legal questions concerning the nature of such contracts, particularly with regard to the law governing the formation of the contract, the law applicable thereto, and the need to ensure effective protection of the rights of the contracting parties. This protection is achieved through the enhancement of security in the use of electronic means, such as authentication, certification, electronic signatures, and all forms of electronic evidence, as well as through determining the mechanisms for resolving disputes arising from this type of contract and addressing the issues related thereto, whether directly or indirectly, by establishing comprehensive protective measures through the adoption of legal and regulatory texts based on internationally recognized standards. Keywords: Internet; Digital Networks; Banking Operations; Electronic Contract; Applicable Law; Electronic Payment Instruments; UNCITRAL Model Law; International Conventions. |
